Look Before You LLC:

What You Should Know About Building, Protecting, and Passing Them On

Limited Liability Companies (LLCs) can be a powerful tool for asset protection, business management, and succession planning—but they also present unique challenges, especially for elder law clients. This session offers a comprehensive exploration of key issues in LLC planning, from critical provisions for strong formation to the complexities of multi-member LLCs taxed as S-corporations and the potential tax implications of placing them in trusts.  You will gain insight into effective succession planning strategies, including selling to third parties, buy-sell agreements under the latest Supreme Court ruling, and gifting LLC interests. Presenters

Attorney Robert J. DuCharme is an associate attorney at Cushing & Dolan P.C. in the Waltham office. His practice focuses on estate planning, corporate law, business succession planning, tax law and estate administration. 

Robert’s estate planning practice focuses on planning for families and high-net-worth individuals, with extensive experience in estate and gift tax planning. He has experience drafting various estate planning documents to best serve a client’s goals and wishes including Revocable Trusts, QTIP Trusts, QPRTs, Medicaid Irrevocable Trusts, Asset Protection Trusts, Intentionally Defective Grantor Trusts, Spousal Lifetime Access Trusts, Irrevocable Life Insurance Trusts, Spendthrift Trusts, GST Trusts, Dynasty Trusts, Wills, Heath Care Proxies, HIPAA Releases, Living Wills and Durable Powers of Attorneys. He also specializes in the use of LLCs and Family Limited Partnerships to reduce an individual’s estate tax consequences.

Robert’s corporate practice focuses on privately held businesses of all sizes. He has extensive experience in the drafting and formation of various business entities such as LLCs, C Corporations, S Corporations and Limited Partnerships. His practice also focuses on business succession planning, mergers and acquisitions, partnership and LLC operating agreements, Buy-sell agreements, corporate compliance and general tax consulting for businesses.

He also has experience preparing federal and Massachusetts estate tax returns, federal gift tax returns and federal and Massachusetts income tax returns Form 1040s and 1041s. Robert has prepared seminars for MCLE, REBA, and Massachusetts Association of Accountants.

Robert earned his J.D., cum laude, from Suffolk University Law School where he received the Jurisprudence Award. Robert earned his BSBA, cum laude, in finance from Bryant University. While in law school Robert worked at Cushing & Dolan P.C. as a law clerk. Prior to Cushing & Dolan Robert worked as a law clerk for DaMore Law and interned in the MBTA law department. Robert is licensed to practice in Massachusetts.

Attorney Tyler W. Humphrey is a business lawyer, who works tirelessly to help clients accomplish both short- and long-term goals. He approaches every transaction with the same mindset - to help his clients achieve their goals with a clear understanding of every angle or contingency that impact not only the deal in front of them, but their business and lives after the paperwork is signed. His prior experience in commercial litigation allows him to help his clients in an efficient and comprehensive manner, ensuring that when they put pen to paper, every possibility is understood.

Attorney Thomas J. McKinnon is an associate in the Elder Law Group of our firm's Estate Planning department. In his capacity, Thomas is responsible for assisting clients in preparing long-term care applications and long-term care asset protection planning using various tools such as Pooled Trusts and Annuities. Thomas is also responsible for drafting a variety of estate planning documents, including revocable trusts, Medicaid Irrevocable trusts, irrevocable life insurance trusts, Wills, deeds, and incapacity documents.

Thomas earned his J.D. from New England Law | Boston in 2014 with a concentration in intellectual property. He graduated from Stonehill College in 2011 with a B.A. in Political Science. While in law school, Thomas was a member of the Intellectual Property Law Association and concentrated in US intellectual property and entertainment law.
